These Terms & Conditions govern the commercial use of alicespring.net and establish the legal framework for all wholesale quotation, trading, and distribution activities under ALICE SPRING PTY LTD.

1. Commercial Supply Boundary & Customer Scope

ALICE SPRING PTY LTD is a dedicated B2B commercial trade supplier. We supply electrical switchgear, solar modules, hybrid inverters, battery storage cabinets, and EV charging pedestals exclusively to pre-qualified commercial entities, licensed electrical contractors, EPC utility developers, and registered retail wholesalers. We do not provide retail consumer advice, domestic installation services, or residential consulting.

2. Purchasing Pipeline, Quotes & Invoicing

Our commercial purchasing pipeline is designed to ensure technical accuracy and supply security:

• Quotations: Written trade quotations are subject to a 14-day validity period, reflecting volatility in global shipping fees and raw material indexes (such as copper and silicon). Quotations are commercial offers only and do not guarantee stock allocation.
• Invoicing & Acceptance: A binding purchase agreement is established only when Alice Spring issues a formal written Tax Invoice and receives a cleared deposit payment in our nominated corporate bank account. All orders are subject to availability.

3. Title Risk & Freight Logistics

We manage logistics coordinates carefully to reduce delay risk for contractors:

• Risk Transfer: Title and risk of loss transfer to the client at our Sydney warehouse loading docks or immediately upon delivery by our freight partners to the client's yard or designated construction site.
• Unloading Mandates: Due to the heavy and delicate nature of solar module pallets, commercial batteries, and EV chargers, the receiving site must provide appropriate unloading equipment (such as a heavy-duty forklift or telehandler) and qualified personnel. Tail-lift unloading must be pre-arranged at quotation.

4. Brand Assets & Intellectual Property

All content displayed on alicespring.net, including technical parameters, specification comparison tables, SVG animation code, page layout styles, text, and product graphics, is the exclusive intellectual property of ALICE SPRING PTY LTD and is protected by Australian and international copyright laws. Any unauthorized commercial reuse, scraping, or copying is strictly prohibited.

5. Technical Disclaimers & Liability Limits

Alice Spring operates strictly as a wholesale hardware distributor. To the maximum extent permitted under New South Wales commercial codes:

• We do not provide structural roof engineering validation, licensed electrical design calculations, or regulatory solar grid connection permissions. All hardware specifications must be validated by the client's own qualified electrical engineers.
• Alice Spring is not liable for indirect, incidental, or consequential damages resulting from project delays, weather events, improper site storage, unlicensed installation, or DNSP network export control rejections.

6. Force Majeure & Supply Chain Disruptions

Alice Spring is exempt from liability for failure or delay in delivering hardware resulting from circumstances beyond our reasonable control (Force Majeure). This includes international shipping line changes, seaport container shortages, customs quarantine holds, factory production delays, national security actions, and extreme weather events.

7. Legal Venue & Governing Law

These terms of trade, website conditions, and commercial credit accounts are governed by the laws of New South Wales, Australia. Any commercial disputes, debt recoveries, or contract disagreements will be handled under the exclusive jurisdiction of the commercial courts of NSW in Sydney.
